PharmHouse signs asset purchase agreement

TORONTO - RIV Capital Inc. ("RIV Capital" or the "Company") today announced that PharmHouse Inc. ("PharmHouse") has, as a result of its sale and investment solicitation process led by BMO Capital Markets, entered into a binding asset purchase agreement (the "Agreement") to sell various operating assets including its facility and certain equipment located at the facility. The Agreement is conditional on approval by the Ontario Superior Court of Justice in PharmHouse's proceedings under the Companies' Creditors Arrangement Act. PharmHouse is seeking to obtain such approval in the near future.

Based on the terms of the Agreement, the Company does not anticipate any material changes to the PharmHouse Recoverability Assessment presented in its condensed interim consolidated financial statements for the three and nine months ended December 31, 2020 available on the Company's profile on SEDAR at www.sedar.com.
